  • 未經配偶同意出售共有房屋,買賣合同是否有效?

      近(jin)日,北京市海(hai)淀(dian)區人民法(fa)院(yuan)審(shen)理了一起房屋(wu)買(mai)賣(mai)合(he)同糾紛案,由于交易時房屋(wu)為夫妻共(gong)同財產,且未經配偶同意侵害其(qi)利益,判決買(mai)賣(mai)合(he)同無效。

      原告(gao)(gao)周女(nv)士(shi)(shi)與(yu)張先(xian)(xian)生(sheng)(sheng)(sheng)原系夫妻。2008年(nian)(nian),雙方婚姻關系存續期間(jian)購買(mai)了(le)涉案房屋(wu)(wu)。2014年(nian)(nian)下半(ban)年(nian)(nian),張先(xian)(xian)生(sheng)(sheng)(sheng)告(gao)(gao)知周女(nv)士(shi)(shi),欲將涉案房屋(wu)(wu)租(zu)給(gei)楊先(xian)(xian)生(sheng)(sheng)(sheng)與(yu)辛(xin)女(nv)士(shi)(shi),雖遭(zao)到周女(nv)士(shi)(shi)極(ji)力反對,但張先(xian)(xian)生(sheng)(sheng)(sheng)執意(yi)將房屋(wu)(wu)門卡、鑰匙等交付楊先(xian)(xian)生(sheng)(sheng)(sheng)與(yu)辛(xin)女(nv)士(shi)(shi)。

      2020年,周(zhou)(zhou)女(nv)(nv)士(shi)與(yu)(yu)張先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)離婚(hun),約(yue)定涉(she)案房屋(wu)歸周(zhou)(zhou)女(nv)(nv)士(shi)所有(you),房屋(wu)貸款由周(zhou)(zhou)女(nv)(nv)士(shi)償還。周(zhou)(zhou)女(nv)(nv)士(shi)向楊先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)、辛女(nv)(nv)士(shi)提出(chu)收回房屋(wu),但遭到(dao)拒(ju)絕,此時(shi)(shi)周(zhou)(zhou)女(nv)(nv)士(shi)才得知(zhi)在其不(bu)知(zhi)情的(de)情況(kuang)下,2016年張先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)與(yu)(yu)楊先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)簽訂(ding)了房屋(wu)買賣合(he)同,以550萬元(yuan)將房屋(wu)賣給楊先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng),且售賣價(jia)(jia)格遠低于當時(shi)(shi)房屋(wu)市價(jia)(jia)。周(zhou)(zhou)女(nv)(nv)士(shi)認為張先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)在簽訂(ding)房屋(wu)買賣合(he)同時(shi)(shi),涉(she)案房屋(wu)系她(ta)與(yu)(yu)張先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)的(de)夫妻共同財產,張先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)無權出(chu)售房屋(wu)。現雙方協商未果,故周(zhou)(zhou)女(nv)(nv)士(shi)將張先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)、楊先(xian)(xian)(xian)(xian)生(sheng)(sheng)(sheng)(sheng)、辛女(nv)(nv)士(shi)訴(su)至法院。

      被告楊(yang)先(xian)生(sheng)(sheng)、辛女士(shi)(shi)辯稱,2014年(nian)(nian)6月(yue),其(qi)(qi)(qi)夫婦二人(ren)與張(zhang)(zhang)(zhang)先(xian)生(sheng)(sheng)、周(zhou)(zhou)女士(shi)(shi)以口(kou)頭方式達成(cheng)(cheng)房(fang)(fang)屋(wu)(wu)買(mai)賣(mai)合(he)同(tong),約定(ding)將(jiang)張(zhang)(zhang)(zhang)先(xian)生(sheng)(sheng)、周(zhou)(zhou)女士(shi)(shi)名下的(de)涉(she)案(an)房(fang)(fang)屋(wu)(wu)出售給他(ta)們(men),購(gou)房(fang)(fang)款為550萬元(yuan)。口(kou)頭協議達成(cheng)(cheng)當月(yue),張(zhang)(zhang)(zhang)先(xian)生(sheng)(sheng)與周(zhou)(zhou)女士(shi)(shi)將(jiang)房(fang)(fang)屋(wu)(wu)交付(fu)給他(ta)們(men),房(fang)(fang)屋(wu)(wu)一(yi)直(zhi)由(you)其(qi)(qi)(qi)夫婦居住,相關費用也一(yi)直(zhi)由(you)其(qi)(qi)(qi)夫婦繳納。2014年(nian)(nian)7月(yue)5日(ri)(ri),楊(yang)先(xian)生(sheng)(sheng)轉(zhuan)賬(zhang)支(zhi)付(fu)購(gou)房(fang)(fang)款300萬元(yuan)。2016年(nian)(nian)4月(yue)24日(ri)(ri),張(zhang)(zhang)(zhang)先(xian)生(sheng)(sheng)與楊(yang)先(xian)生(sheng)(sheng)補(bu)簽(qian)了《北京(jing)市(shi)存量房(fang)(fang)屋(wu)(wu)買(mai)賣(mai)合(he)同(tong)》。2016年(nian)(nian)6月(yue)30日(ri)(ri),楊(yang)先(xian)生(sheng)(sheng)又轉(zhuan)賬(zhang)支(zhi)付(fu)購(gou)房(fang)(fang)款200萬元(yuan)。在口(kou)頭達成(cheng)(cheng)房(fang)(fang)屋(wu)(wu)買(mai)賣(mai)合(he)同(tong)時,張(zhang)(zhang)(zhang)先(xian)生(sheng)(sheng)與周(zhou)(zhou)女士(shi)(shi)告訴他(ta)們(men)涉(she)案(an)房(fang)(fang)屋(wu)(wu)有貸款尚未(wei)償(chang)還,且張(zhang)(zhang)(zhang)先(xian)生(sheng)(sheng)與周(zhou)(zhou)女士(shi)(shi)希望使用房(fang)(fang)屋(wu)(wu)的(de)學區名額,故其(qi)(qi)(qi)未(wei)支(zhi)付(fu)剩余(yu)50萬元(yuan)購(gou)房(fang)(fang)款,亦未(wei)催促辦理(li)房(fang)(fang)屋(wu)(wu)過戶手續(xu)。現其(qi)(qi)(qi)認為房(fang)(fang)屋(wu)(wu)買(mai)賣(mai)合(he)同(tong)是各方真實意思的(de)表示,未(wei)違反(fan)法(fa)律、行政法(fa)規的(de)強(qiang)制性規定(ding),應屬(shu)有效合(he)同(tong),故不同(tong)意周(zhou)(zhou)女士(shi)(shi)的(de)訴訟請求(qiu)。

      在(zai)案件審理過程(cheng)中,張先(xian)生表示其沒有將(jiang)出(chu)售房(fang)屋(wu)的(de)(de)(de)事情告知周女士。其有求于楊先(xian)生的(de)(de)(de)叔叔,故在(zai)明知房(fang)屋(wu)交易價(jia)格較低的(de)(de)(de)情況下,將(jiang)房(fang)屋(wu)出(chu)售給(gei)楊先(xian)生。同時,法(fa)院依周女士申請,委托(tuo)房(fang)地(di)產評(ping)估公司對涉案房(fang)屋(wu)在(zai)2014年6月(yue)15日的(de)(de)(de)市場價(jia)值進行(xing)評(ping)估,評(ping)估價(jia)格為(wei)952萬(wan)元。

      法(fa)院審理后認(ren)為,涉案的(de)(de)《北京市(shi)存量房屋(wu)買賣合(he)同(tong)》簽(qian)署人是張(zhang)先(xian)(xian)生(sheng)(sheng)與(yu)楊(yang)(yang)先(xian)(xian)生(sheng)(sheng),辛女士在庭審中(zhong)明確表示追認(ren)楊(yang)(yang)先(xian)(xian)生(sheng)(sheng)簽(qian)訂合(he)同(tong)的(de)(de)行為。在楊(yang)(yang)先(xian)(xian)生(sheng)(sheng)、辛女士未能提供充(chong)足有效的(de)(de)證(zheng)據證(zheng)明其與(yu)張(zhang)先(xian)(xian)生(sheng)(sheng)、周(zhou)女士就(jiu)購買房屋(wu)達成口頭約(yue)定的(de)(de)情(qing)況下,該合(he)同(tong)應當認(ren)定為張(zhang)先(xian)(xian)生(sheng)(sheng)與(yu)楊(yang)(yang)先(xian)(xian)生(sheng)(sheng)、辛女士簽(qian)訂的(de)(de)合(he)同(tong)。

      購買(mai)(mai)(mai)房(fang)屋(wu)(wu)無(wu)論對于(yu)(yu)出賣人(ren),還是買(mai)(mai)(mai)受人(ren)而言均屬(shu)于(yu)(yu)重大事項。按照交(jiao)易慣例(li),出賣人(ren)、買(mai)(mai)(mai)受人(ren)應當(dang)知悉買(mai)(mai)(mai)賣的(de)(de)(de)房(fang)屋(wu)(wu)市場(chang)價(jia)格,故法院據此(ci)認(ren)(ren)定(ding)張先(xian)生、楊先(xian)生、辛(xin)女(nv)士(shi)在達成房(fang)屋(wu)(wu)買(mai)(mai)(mai)賣合意(yi)時知悉涉案房(fang)屋(wu)(wu)的(de)(de)(de)市場(chang)交(jiao)易價(jia)格。通(tong)(tong)過法院委托(tuo)的(de)(de)(de)鑒(jian)(jian)定(ding)機(ji)構(gou)出具的(de)(de)(de)鑒(jian)(jian)定(ding)意(yi)見,張先(xian)生與(yu)楊先(xian)生、辛(xin)女(nv)士(shi)約定(ding)的(de)(de)(de)房(fang)屋(wu)(wu)價(jia)格遠遠低于(yu)(yu)該房(fang)屋(wu)(wu)的(de)(de)(de)市場(chang)交(jiao)易價(jia)格,而該行為客觀(guan)上對于(yu)(yu)周女(nv)士(shi)的(de)(de)(de)利益造成了損害,法院認(ren)(ren)定(ding)張先(xian)生與(yu)楊先(xian)生、辛(xin)女(nv)士(shi)構(gou)成惡意(yi)串(chuan)通(tong)(tong),損害了第三人(ren)利益。鑒(jian)(jian)于(yu)(yu)此(ci),張先(xian)生與(yu)楊先(xian)生、辛(xin)女(nv)士(shi)于(yu)(yu)2016年4月(yue)24日簽(qian)訂的(de)(de)(de)《北(bei)京市存量房(fang)屋(wu)(wu)買(mai)(mai)(mai)賣合同(tong)》應屬(shu)于(yu)(yu)無(wu)效合同(tong)。

      關(guan)于周女(nv)士(shi)要(yao)求(qiu)楊(yang)先(xian)生、辛(xin)女(nv)士(shi)返還房屋的(de)(de)(de)訴(su)訟(song)(song)請(qing)求(qiu),因房屋買賣(mai)合(he)(he)同(tong)(tong)是(shi)(shi)張先(xian)生與楊(yang)先(xian)生、辛(xin)女(nv)士(shi)簽訂(ding)的(de)(de)(de),楊(yang)先(xian)生、辛(xin)女(nv)士(shi)基于該(gai)(gai)(gai)合(he)(he)同(tong)(tong)居住使用了涉案房屋,周女(nv)士(shi)不是(shi)(shi)房屋買賣(mai)合(he)(he)同(tong)(tong)的(de)(de)(de)締約(yue)人。現該(gai)(gai)(gai)房屋買賣(mai)合(he)(he)同(tong)(tong)雖被法院確(que)認為無效合(he)(he)同(tong)(tong),但周女(nv)士(shi)基于房屋買賣(mai)合(he)(he)同(tong)(tong)糾紛要(yao)求(qiu)楊(yang)先(xian)生、辛(xin)女(nv)士(shi)返還房屋,缺(que)乏相(xiang)應的(de)(de)(de)法律(lv)依據(ju),故(gu)法院對于周女(nv)士(shi)的(de)(de)(de)該(gai)(gai)(gai)項(xiang)訴(su)訟(song)(song)請(qing)求(qiu),不予支持。

      ■法官說法■

      《中華人民(min)共(gong)和國(guo)民(min)法(fa)典》第一百(bai)五十四條規定,行為人與相對人惡意串(chuan)通,損(sun)害他(ta)人合(he)法(fa)權益(yi)(yi)的(de)民(min)事法(fa)律行為無效。即惡意串(chuan)通,損(sun)害國(guo)家、集(ji)體(ti)或第三(san)人利益(yi)(yi)的(de)合(he)同為無效合(he)同。

      合同(tong)(tong)的(de)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao),也(ye)分為絕對(dui)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao)與(yu)相對(dui)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao)。對(dui)于(yu)惡意(yi)串(chuan)通(tong)損(sun)害國家、集體(ti)利益的(de)合同(tong)(tong),屬(shu)絕對(dui)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao)合同(tong)(tong),在訴訟過程中法院(yuan)(yuan)可依(yi)職權進行(xing)審(shen)查,主(zhu)動(dong)確認合同(tong)(tong)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao)。對(dui)于(yu)惡意(yi)串(chuan)通(tong)損(sun)害第三人(ren)利益的(de)合同(tong)(tong),屬(shu)相對(dui)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao)合同(tong)(tong),在當事(shi)人(ren)不(bu)主(zhu)張(zhang)合同(tong)(tong)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao)的(de)情況下,法院(yuan)(yuan)不(bu)主(zhu)動(dong)審(shen)查合同(tong)(tong)效(xiao)(xiao)(xiao)(xiao)(xiao)力(li)。該案(an)(an)屬(shu)侵犯特定第三人(ren)利益合同(tong)(tong),系相對(dui)無(wu)(wu)效(xiao)(xiao)(xiao)(xiao)(xiao)的(de)合同(tong)(tong),法院(yuan)(yuan)依(yi)周女士(shi)的(de)訴訟請求依(yi)法對(dui)涉案(an)(an)合同(tong)(tong)效(xiao)(xiao)(xiao)(xiao)(xiao)力(li)進行(xing)了審(shen)查。

      本(ben)案中,涉(she)案房屋(wu)的(de)鑒定(ding)價(jia)值是952萬(wan)元,而(er)楊先(xian)(xian)生與(yu)張(zhang)先(xian)(xian)生的(de)交易價(jia)格為(wei)550萬(wan)元。房屋(wu)買賣對楊先(xian)(xian)生、張(zhang)先(xian)(xian)生均(jun)(jun)是人生重大事項,雙方均(jun)(jun)應當知曉涉(she)案房屋(wu)的(de)市場(chang)價(jia)格。同時,楊先(xian)(xian)生、張(zhang)先(xian)(xian)生于2016年(nian)4月即簽訂了(le)《北(bei)京市存量房屋(wu)買賣合同》,截至周(zhou)女(nv)(nv)士(shi)提起(qi)本(ben)案訴(su)訟已逾4年(nian)。在這(zhe)4年(nian)的(de)時間里,楊先(xian)(xian)生完(wan)全可以要求(qiu)周(zhou)女(nv)(nv)士(shi)在《北(bei)京市存量房屋(wu)買賣合同》上簽字確認(ren),而(er)楊先(xian)(xian)生卻沒有要求(qiu)周(zhou)女(nv)(nv)士(shi)簽字確認(ren),可見楊先(xian)(xian)生對周(zhou)女(nv)(nv)士(shi)采取(qu)了(le)回(hui)避的(de)態度(du)。綜合以上情(qing)形(xing),楊先(xian)(xian)生、張(zhang)先(xian)(xian)生知道房屋(wu)的(de)市場(chang)價(jia)格時,仍然以遠低(di)于市場(chang)價(jia)的(de)價(jia)格進行交易,該價(jia)格嚴重損害了(le)周(zhou)女(nv)(nv)士(shi)的(de)利益,應認(ren)定(ding)楊先(xian)(xian)生、張(zhang)先(xian)(xian)生存在惡意串通,合同應為(wei)無效。
