白(bai)紙黑字約定了土地(di)使(shi)用(yong)權,對(dui)方不僅未按時(shi)辦理(li)過戶,還(huan)將其抵押,此時(shi)抵押合(he)(he)同(tong)是否有效?土地(di)使(shi)用(yong)權究(jiu)竟歸誰?12月(yue)6日,一起建設用(yong)地(di)使(shi)用(yong)權轉讓(rang)合(he)(he)同(tong)糾紛案當(dang)事人(ren)為河南省(sheng)信陽市(shi)平(ping)橋區人(ren)民(min)法(fa)院送上錦旗,感謝羊山法(fa)庭庭長蔣薈(hui)依法(fa)辦案、公正判決,切實(shi)維護企業(ye)的合(he)(he)法(fa)權益(yi),營(ying)造法(fa)治(zhi)化(hua)營(ying)商環境。
河南某(mou)企(qi)業(ye)(ye)管(guan)理服(fu)務(wu)有限(xian)(xian)(xian)公(gong)(gong)(gong)(gong)司(si)與被(bei)告(gao)(gao)河南某(mou)控(kong)股(gu)集(ji)團有限(xian)(xian)(xian)公(gong)(gong)(gong)(gong)司(si)經友好協商,簽(qian)訂《土地(di)(di)使(shi)(shi)用(yong)權(quan)轉讓協議(yi)》,約定(ding)被(bei)告(gao)(gao)轉讓部分土地(di)(di)使(shi)(shi)用(yong)權(quan)給企(qi)業(ye)(ye)管(guan)理有限(xian)(xian)(xian)公(gong)(gong)(gong)(gong)司(si),用(yong)于建設汽(qi)車銷售(shou)服(fu)務(wu)中心,并在(zai)六個月內過(guo)戶(hu)(hu)土地(di)(di)使(shi)(shi)用(yong)權(quan)證(zheng)。協議(yi)簽(qian)訂后(hou),企(qi)業(ye)(ye)管(guan)理有限(xian)(xian)(xian)公(gong)(gong)(gong)(gong)司(si)依(yi)約向被(bei)告(gao)(gao)支付(fu)購地(di)(di)款773萬余元,被(bei)告(gao)(gao)也將(jiang)土地(di)(di)交付(fu)使(shi)(shi)用(yong),但并未在(zai)約定(ding)時(shi)間辦理過(guo)戶(hu)(hu)手(shou)續。隨后(hou),被(bei)告(gao)(gao)將(jiang)約定(ding)土地(di)(di)所在(zai)地(di)(di)塊(kuai)的土地(di)(di)使(shi)(shi)用(yong)權(quan)抵(di)押(ya)給某(mou)信托公(gong)(gong)(gong)(gong)司(si),抵(di)押(ya)資金(jin)用(yong)作其他項目,汽(qi)車銷售(shou)公(gong)(gong)(gong)(gong)司(si)得(de)知后(hou),將(jiang)控(kong)股(gu)集(ji)團有限(xian)(xian)(xian)公(gong)(gong)(gong)(gong)司(si)訴至平橋法院(yuan)。
案件(jian)審理(li)過程中(zhong),蔣薈仔細審查了(le)案件(jian)材(cai)料(liao),收集相關證據,判斷(duan)原(yuan)、被(bei)(bei)告(gao)之間(jian)形成的(de)(de)(de)(de)土(tu)(tu)地(di)使(shi)用(yong)(yong)權(quan)轉(zhuan)讓(rang)合同合法有(you)效(xiao),各方應(ying)當按照(zhao)(zhao)約定全面履行各自的(de)(de)(de)(de)合同義務。被(bei)(bei)告(gao)不僅(jin)應(ying)履行交(jiao)付約定土(tu)(tu)地(di)的(de)(de)(de)(de)義務,且(qie)應(ying)在(zai)協議生效(xiao)后(hou)六個(ge)月內,將雙方交(jiao)易的(de)(de)(de)(de)土(tu)(tu)地(di)使(shi)用(yong)(yong)權(quan)過戶至(zhi)原(yuan)告(gao)名下。按照(zhao)(zhao)抵押(ya)權(quan)的(de)(de)(de)(de)有(you)權(quan)處分性(xing),抵押(ya)人(ren)用(yong)(yong)于(yu)抵押(ya)的(de)(de)(de)(de)財(cai)產應(ying)當是有(you)權(quan)處分的(de)(de)(de)(de)財(cai)產,在(zai)原(yuan)告(gao)對土(tu)(tu)地(di)享有(you)實際的(de)(de)(de)(de)占有(you)、使(shi)用(yong)(yong)、收益(yi)等權(quan)益(yi)的(de)(de)(de)(de)情(qing)況下,應(ying)優(you)先(xian)保護實際物(wu)權(quan)人(ren)的(de)(de)(de)(de)權(quan)利,該(gai)土(tu)(tu)地(di)的(de)(de)(de)(de)抵押(ya)行為無(wu)效(xiao)。
經(jing)(jing)過審理(li),依法判(pan)決被(bei)告與信托公司簽訂的(de)(de)《抵押(ya)合同(tong)》中用(yong)爭議土(tu)地(di)(di)作抵押(ya)內容部(bu)分(fen)(fen)無效(xiao),并注銷上(shang)述土(tu)地(di)(di)使(shi)用(yong)權的(de)(de)抵押(ya)登記,協助原(yuan)告辦理(li)土(tu)地(di)(di)使(shi)用(yong)權過戶手續(xu)。經(jing)(jing)過蔣薈的(de)(de)釋法答(da)疑,被(bei)告也充分(fen)(fen)認識到自己應該履行的(de)(de)義務,妥善處理(li)了案涉土(tu)地(di)(di)相關手續(xu),該建(jian)設用(yong)地(di)(di)使(shi)用(yong)權轉(zhuan)讓合同(tong)糾紛(fen)順利(li)化解(jie)。
法官說法:
根據《中(zhong)華人民(min)共(gong)和國民(min)法(fa)典》規定(ding),當事人行(xing)(xing)使權利、履行(xing)(xing)義(yi)務應(ying)當遵循(xun)誠實信用原則(ze),該原則(ze)包括(kuo):1、在訂(ding)立合同時,不(bu)得有(you)欺詐行(xing)(xing)為(wei);2、在合同履行(xing)(xing)過(guo)程中(zhong),當事人如實履行(xing)(xing)應(ying)承擔的義(yi)務;3、根據公平原則(ze)確定(ding)違(wei)約責任。
在本案中(zhong),合(he)同雙方(fang)均為(wei)企業,在合(he)作(zuo)中(zhong)應(ying)誠信(xin)經營(ying),依約履行合(he)同條款及(ji)義(yi)務。同時(shi),信(xin)托公(gong)司作(zuo)為(wei)專業的(de)(de)代(dai)為(wei)管(guan)理經營(ying)貨幣資金(jin)(jin)和(he)實(shi)物財產的(de)(de)金(jin)(jin)融機(ji)構,應(ying)具備(bei)豐富的(de)(de)信(xin)托業務經驗及(ji)相關(guan)的(de)(de)專業知識(shi)及(ji)暢(chang)通(tong)的(de)(de)信(xin)息渠道,在辦(ban)理抵押業務時(shi),除要(yao)審查(cha)不動產登記(ji)薄的(de)(de)登記(ji)信(xin)息外,還應(ying)盡到(dao)審慎注意義(yi)務、遵守普遍的(de)(de)行業慣例,實(shi)地調查(cha)抵押物,并(bing)嚴格審查(cha)是否已(yi)經交(jiao)付(fu)他人使(shi)用(yong),從而規避(bi)(bi)風險,避(bi)(bi)免不必要(yao)的(de)(de)法律糾紛。
